Terms of Service

Welcome to Regli (“Regli”, “we”, “us”, or “our”).
Regli operates an online platform (“Platform”) that connects Customer(s) (“User(s)”) with Regulated Canadian Immigration Consultants(“Service Providers”).

By accessing or using the Platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.


1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use Regli.

By using the Platform, you represent and warrant that you meet these requirements.


2. Platform Role and Disclaimer

Regli is a technology platform only.

  • Regli does not provide immigration, legal, financial, or professional advice.
  • Regli does not employ, endorse, or control Service Providers.
  • Service Providers are independent professionals responsible for their own services, advice, representations, and compliance with applicable laws and professional regulations.

Any agreement for services is solely between the User and the Service Provider.


3. Accounts

3.1 Account Creation

You must provide accurate, current, and complete information when creating an account.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account

Regli is not responsible for unauthorized access resulting from your failure to secure your account.


4. Service Providers

4.1 Listings

Service Providers may create listings describing their services, scope, pricing, and availability.

Service Providers are solely responsible for:

  • Accuracy of listings
  • Compliance with applicable professional and regulatory requirements
  • Services delivered to Users

4.2 Verification

Regli will perform verification checks for licensure, accreditation, or regulatory standing.

Users are advised to conduct their own due diligence.

4.3 Service Provider Outreach

Service Providers may contact Users for:

  • Delivering booked services
  • Providing follow-up assistance
  • Offering additional or related immigration services relevant to the User’s needs

Users acknowledge and agree to such communications when using the Platform.

4.4 Data Sharing for Recommendations

To improve service discovery and matching, Regli may share limited User information with other Service Providers on the Platform, even if the User has not previously interacted with them.
Such sharing is solely for purposes of:

  • Introducing relevant Service Providers
  • Facilitating consultations or service proposals
  • Recommending immigration professionals

Service Providers are expected to use shared information responsibly and in compliance with applicable laws and professional standards.


5. Bookings and Payments

5.1 Bookings

  • Bookings made through the Platform do not represent an agreement between the User and the Service Provider.
  • Any retainers or service agreements must be signed separately between the Service Provider and the User.
  • Service Providers may accept or decline bookings. Declined bookings may result in the User booking with other Service Providers.

5.2 Payments

  • Payments are processed through third-party payment processors (e.g., Stripe).
  • Regli does not store full payment card details.
  • All fees are final and non-refundable.
  • Taxes may apply depending on your location.

5.3 Type of Fees

Regli may charge:

  • Platform service fees
  • Subscription fees
  • Listing fees

Applicable fees will be disclosed prior to purchase.

5.4 Payouts

  • Funds will be available for payout to Service Providers on a Stripe default 7-day rolling basis from the day booking is accepted OR 2 business days post service completion, whichever is later.
  • Platform will not hold any funds; however, funds remain in the Service Provider’s Stripe Connect account from the day booking is accepted.

6. Tax Liabilities

  • Each Service Provider is solely responsible for determining, collecting, reporting, and remitting any and all taxes, duties, levies, or governmental charges arising from or related to the sale of their services through the Regli platform, including but not limited to income tax, sales tax, GST/HST, VAT, PST, QST, or similar taxes applicable in their jurisdiction.

  • Regli does not calculate, withhold, collect, or remit taxes on behalf of Service Providers unless explicitly stated otherwise in writing. Regli makes no representations regarding the tax treatment of any transactions conducted on the platform.

  • Service Providers agree to indemnify and hold harmless Regli from any claims, penalties, interest, or liabilities arising from their failure to comply with applicable tax laws or filing obligations.


7. Platform Marketing and Self-Promotion Restrictions

Service Providers must use the Regli Platform solely for the purpose of offering and delivering services in accordance with these Terms.

Service Providers are prohibited from engaging in self-promotion or marketing activities on the Platform outside of what is authorized by Regli, including:

  • Promotional or advertising content within profiles or profile updates
  • Marketing language, external links, contact details, or calls to action in listings or listing updates
  • Promotional messages, solicitations, or marketing materials sent through the Platform’s secure messaging system

All profiles, listings, and communications must remain factual, professional, and limited to service-related information only.

Regli reserves the right to remove or modify content that violates this section and may suspend or terminate accounts for repeated or serious violations.


8. Off-Platform Solicitation and Client Circumvention

Service Providers must not attempt to solicit, redirect, or engage Users for services outside of the Regli Platform for the purpose of avoiding platform fees, controls, or policies.

For any services initiated on the Regli Platform, this includes, but is not limited to:

  • Encouraging Users to communicate or transact off-platform before service delivery
  • Sharing personal contact details to bypass Regli systems
  • Offering discounts, incentives, or alternative arrangements outside the Platform
  • Requesting payments outside of Regli

Any attempt to circumvent the Platform or poach clients may result in:

  • Immediate suspension or termination of the Service Provider account
  • Removal of listings and reviews
  • Forfeiture of outstanding payments or platform credits
  • Additional remedies as permitted by law

Regli reserves the right to investigate suspected violations and take appropriate enforcement action at its sole discretion.


9. Trial Period

Service Providers can start the Platform Trial with Starter Membership. Starter Membership has the following features:

  • Ability to publish 3 listings
  • Access to platform infrastructure allowing up to 5 client-initiated booking requests (no guaranteed bookings)
  • Scheduling, secure messaging, and payment processing tools
  • Email notifications and administrative dashboard

During the Trial period, Service Providers are responsible for:

  • Payment processing charges for any bookings received
  • Payout charges from their Stripe account to their bank account
  • Subscription fee, if upgrading to higher tiers

All applicable charges will be invoiced monthly, with payments due within one week of invoice generation.


10. Subscriptions

Certain features may be offered on a subscription basis.

  • Subscriptions renew automatically unless canceled
  • Fees are non-refundable except as required by law
  • Regli may modify subscription pricing or features with prior notice
  • Service Providers can reach out to Regli Support for changes in subscription tier or cancellations

11. Ratings and Reviews

  • Regli may allow Users and Service Providers to submit ratings and reviews of each other following a completed interaction.
  • Reviews must be based on professionalism, communication, responsiveness, conduct, and overall experience, and must not reference outcomes, approvals, refusals, guarantees, or success rates.
  • All reviews are subject to moderation. Regli may reject, edit, or remove reviews that violate these Terms or platform policies.
  • False, misleading, abusive, or incentivized reviews may be removed, and related accounts may be suspended or terminated.

12. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation
  • Misrepresent your identity or credentials
  • Post false, misleading, or unlawful content
  • Attempt to bypass platform fees
  • Interfere with the platform’s security or functionality
  • Post reviews or ratings that violate Regli’s Ratings and Reviews Policy
  • Self-promote, solicit, or redirect Users off the platform
  • Avoid or neglect applicable tax reporting and filing obligations related to your service sales

Regli may suspend or terminate accounts for violations.


13. Intellectual Property

All Platform content, including text, logos, software, and design, is owned by or licensed to Regli and protected by intellectual property laws.

You may not copy, distribute, or exploit Platform content without prior written permission.


14. Privacy

Your use of the Platform is subject to Regli’s Privacy Policy, which explains how personal information is collected, used, and disclosed.

This includes, but is not limited to:

  • Service Providers contacting Users for service delivery or follow-up
  • Regli marketing and promotional communications
  • Sharing User information with other Service Providers on the Platform for recommendations or introductions

15. Limitation of Liability

To the maximum extent permitted by law:

  • Regli is not liable for any indirect, incidental, special, or consequential damages
  • Regli is not liable for the actions, omissions, or advice of Service Providers
  • Regli’s total liability shall not exceed the amount paid by you to Regli in the three (3) months preceding the claim

16. Indemnification

You agree to indemnify and hold harmless Regli from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your interactions with Service Providers or Users

17. Termination

Regli may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or for business or security reasons.

Upon termination, your right to use the Platform will immediately cease.


18. Modifications to the Terms

Regli may update these Terms from time to time.

Updated Terms will be posted on the Platform with a revised “Last updated” date. Continued use constitutes acceptance of the revised Terms.


19. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada, without regard to conflict of law principles.
